Opening of an account for a non-resident company in a Russian bank.
The accounts, opened at Russian banks for servicing an affiliate’s activity, from a legal perspective are accounts of foreign companies, of non-resident companies and have the appropriate foreign exchange control regime.
In order to open an account it is necessary to present a package of attested (apostilled, as a rule) and translated documents of company, sign an account contract and notarize the bank card. Except that, for opening an account tax registration in Russia is compulsory.
A foreign company can open an account even without accreditation of a representative office, but only in case of tax registration in Russia.
For bank servicing of business activity the foreign company may open an account in the Russian bank (in currency as well as in roubles). The regime of opened accounts is regulated by the Act of the Central Bank of the Russian Federation.
The affiliate of the foreign company is non-resident for the purposes of currency legislation. Thereafter, all settlements of residents with the affiliate are liable to the currency regime in the same order as the se1ttlements with the head office of the foreign company (for example, at issuing a transaction certificate at the bank of the resident (the transaction amount should be more than 5000 US dollars)
Opening of a resident account at a Russian bank
The list of documents necessary for opening a settlement account for the resident company (some banks can ask for other documents):
- Notarized copies of Primary State Registration Number and of TIN of the Company;
- Notarized copy of the Articles of Association
- Notarized copy of the constitutive treaty or the decision;
- Copy of the minutes or decision of the General Director appointment, affixed with the organization seal;
- Copy of a letter of appointment of the general accountant, affixed with the organization seal;
- Copy of extract from the Unified State Register of Legal Entities;
- Letter from the State Statistics Committee of the Russian Federation (an original and a notarized copy);
- Notarized bank cards, signed by the General Director and the general accountant;
- Account opening application.
The banking establishment can also request the copy of the Commercial Property Rental Agreement to confirm the legal address of the company. After presenting all necessary documents the account service contract should be signed in two copies for each party.
On opening an account it is necessary to inform about it the tax inspection, where the company is registered at its location, as well as non-budgetary funds.
